• "API" means the Forecite application programming interfaces, including the REST API and webhooks, that we make available.
• "API Key" means the credentials we issue to authenticate calls to the API.
• "SDKs" means the software development kits and client libraries we provide, including our Python, TypeScript, Rust, and Model Context Protocol (MCP) libraries.
• "Documentation" means the developer documentation we make available, including at docs.forecite.dev.
• "Forecite Data" means the feeds, scores, sentiment values, actionability ratings, verdicts, and other data or output made available through the API.
• "Application" means the software, integration, product, or service you build or operate that accesses the API.
• "End User" means any person who uses your Application.
• "Services" has the meaning given in our Terms of Service.

2.1 Documentation and SDK license

Subject to your compliance with these Developer Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Documentation and SDKs solely to develop and operate your Application in connection with the API. Where an SDK is distributed under its own open-source license, your use of that SDK is also governed by that license.

2.2 API access license

Subject to your plan, any applicable rate limits, and these Developer Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and call the API and to use Forecite Data within your Application.

2.3 Restrictions

You must not, and must not permit any third party to:

• reverse engineer, decompile, or attempt to derive the source code, models, or scoring methodology behind the Services, except to the extent permitted by law;
• exceed, circumvent, or attempt to circumvent any rate limit, quota, or entitlement associated with your plan;
• resell, sublicense, redistribute, or otherwise make Forecite Data available to any third party except to your End Users within your Application and as your plan expressly permits;
• use the API, the SDKs, or Forecite Data to build, train, benchmark, or operate a product or dataset that competes with or substitutes for the Services;
• scrape, bulk-export, or accumulate Forecite Data beyond what is reasonably necessary for your permitted use, or cache it longer than reasonably necessary;
• remove or obscure any proprietary notice, or interfere with or disrupt the integrity, security, or performance of the Services; or
• use the API in violation of any applicable law or third-party right.

2.4 Feedback

If you give us feedback or suggestions about the API, SDKs, or Services, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

2.5 Reservation of rights

All rights not expressly granted to you are reserved by us. These Developer Terms do not transfer any ownership in the API, SDKs, Forecite Data, or Services.

We issue API Keys to authenticate your access. You are responsible for keeping your API Keys confidential and for all activity that occurs under them. You must not share, sell, or embed your API Keys where they could be extracted by a third party (for example, in client-side code you distribute). You must notify us promptly at contact@forecite.dev if you believe an API Key has been compromised. We may rotate, throttle, or revoke API Keys that we reasonably believe are compromised or being used in violation of these Developer Terms.

Forecite Data is licensed to you, not sold, and we and our licensors retain all right, title, and interest in it. You may use Forecite Data only within your Application and in accordance with your plan and these Developer Terms. The right to use Forecite Data ends when your access to the API ends, and you must then stop using it and delete stored copies except where retention is required by law.

Some Forecite Data originates from third-party sources (such as regulators, news wires, and exchanges). We do not warrant its accuracy, completeness, or timeliness, and your use of it may be subject to the rights and restrictions of those sources.

If your Application makes Forecite Data available to End Users, you are responsible for your Application and your relationship with your End Users. You must:

• maintain your own terms of service and privacy policy that govern your End Users and comply with all applicable data protection laws for any personal data you process;
• not present Forecite Data, including scores, sentiment values, or verdicts, as investment, financial, legal, or tax advice, or as a recommendation to buy, sell, or hold any security; and
• pass through to your End Users a disclaimer materially consistent with the financial disclaimer in our Terms of Service, making clear that the data is informational only and generated by automated models.

Your use of the API is subject to the rate limits and quotas associated with your plan. We may monitor usage to enforce these limits and to protect the integrity and availability of the Services, and we may throttle or suspend access that exceeds them or that we reasonably consider abusive.

We are continually improving the API and SDKs and may change, version, or deprecate them at any time. Where a change is likely to be materially disruptive, we will make reasonable efforts to provide advance notice, for example through the Documentation or by email. We do not guarantee that the API, SDKs, or any particular feature or endpoint will remain available. Any support we provide is on a reasonable-efforts basis and does not create a support obligation unless agreed separately in writing.

We may make early-access, preview, or beta features of the API available to you. These features, and any non-public information we share about them, are our confidential information. You must not disclose them, and you may use them only to evaluate and build your Application. Beta features are provided "as is," may change or be withdrawn at any time, and may be less reliable than generally available features.

We may suspend or terminate your access to the API and SDKs at any time, with or without notice, including if we reasonably believe you have violated these Developer Terms or if your access poses a security or legal risk. Upon termination, the licenses granted here end, and you must stop accessing the API, stop using the SDKs and Forecite Data, and delete stored Forecite Data except where retention is required by law. Sections that by their nature should survive, including Sections 2.3 to 2.5, 4, 5, and 9 to 13, will survive.

The API, SDKs, Documentation, and Forecite Data are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the API will be uninterrupted, secure, timely, or error-free, or that Forecite Data will be accurate or reliable.

To the fullest extent permitted by law, in no event will Forecite be liable to you for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits, lost data, or trading or investment losses, arising out of or relating to your use of the API, SDKs, or Forecite Data.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Developer Terms will not exceed the greater of the amount you paid us for API access during the three (3) months immediately preceding the event giving rise to the liability, or one hundred euros (EUR 100). Nothing in these Developer Terms excludes or limits liability that cannot be excluded or limited under mandatory applicable law.

You agree to defend, indemnify, and hold harmless Forecite and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your Application, your use of the API, SDKs, or Forecite Data, your relationship with your End Users, or your violation of these Developer Terms or any law or third-party right.

• No partnership. These Developer Terms do not create any partnership, joint venture, agency, or employment relationship between you and us.
• Governing law. These Developer Terms are governed by the laws of Ireland, and any dispute is subject to the dispute resolution and general provisions of our Terms of Service.
• Assignment. You may not assign these Developer Terms without our prior written consent. We may assign them without restriction.
• Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
• Modifications. We may update these Developer Terms from time to time. The updated version is indicated by an updated "Last updated" date, and your continued use of the API after it takes effect constitutes acceptance.
