Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Forecite, Inc. ("Forecite," "we," "us," or "our"), concerning your access to and use of the Forecite website at https://forecite.dev, the Forecite application, our APIs, and any related products or services (together, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

We recommend that you print or save a copy of these Terms for your records.

1. Agreement to our legal terms

We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date, and the updated version will be effective as soon as it is accessible. Your continued use of the Services after the date such revised Terms are posted constitutes your acceptance of the changes.

The Services are intended for users who are at least 18 years old, or the age of majority in your jurisdiction. Persons under that age are not permitted to use the Services.

2. Our services

Forecite is a real-time trading intelligence platform that captures, analyzes, and scores market-moving news, regulatory filings, and sentiment signals. The Services may include a live feed, historical data accessible via our API, automated scoring (including actionability and sentiment "verdicts"), webhooks, software development kits, and an AI assistant.

The information provided by the Services is not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject us to any registration requirement within such jurisdiction or country. Those who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

3. Eligibility and accounts

To access most features you must register for an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your account credentials and API keys, and for all activity that occurs under your account. You must notify us immediately of any unauthorized use or security breach.

You may not share, sell, resell, sublicense, or otherwise transfer your account or API credentials, or make the Services available to any third party, except as expressly permitted by your plan.

4. Subscriptions, billing, and payment

Certain features of the Services are offered on a subscription basis. By selecting a paid plan, you agree to pay the applicable fees for the billing cycle you choose (monthly or annual). Prices are stated on our pricing page and are exclusive of any applicable taxes unless stated otherwise.

  • Automatic renewal. Subscriptions renew automatically at the end of each billing cycle at the then-current rate, using your payment method on file, until cancelled.
  • Payment processing. All payments are processed by Stripe. By subscribing, you authorize us and Stripe to charge your payment method for all fees when due, including prorated amounts arising from a plan change. Your payment information is handled by Stripe under its privacy policy.
  • Failed payments. If a charge fails, we may suspend or downgrade your access until payment is successfully collected.
  • Taxes. You are responsible for any sales, use, value-added, or similar taxes associated with your purchase, other than taxes based on our net income.

Upgrading to a higher plan takes effect immediately and is billed on a prorated basis for the remainder of the current billing cycle. You will be shown the prorated amount due and must confirm it before the change is applied.

5. Refunds

All fees are non-refundable. Access to a paid plan is provided to you immediately upon subscription. As soon as the first feed, score, verdict, API response, or any other data is consumed or accessed under a plan, the Services for that billing period are deemed to have been fully rendered and used, and no refund of any kind will be issued for that period.

This includes, without limitation, the following: no full refunds, no partial or prorated refunds, and no credit for unused time remaining in a billing period. Once the Services have been used, the entire subscription fee for the then current billing period is earned in full and payable in full, regardless of actual usage thereafter.

For clarity, and without limiting the above:

  • Cancelling a subscription stops future renewals only. It does not entitle you to a refund of the current billing period, and your access continues until the end of that period, after which it ends without further charge.
  • Dissatisfaction with the Services, with the accuracy or timeliness of any data, or with any score, verdict, or trading outcome is not a basis for a refund.
  • Downgrading your plan does not generate a refund of the difference for the current period; the new rate applies from the next billing cycle unless stated otherwise at the time of the change.

Waiver of the right of withdrawal (EU / UK consumers)

Where you are a consumer in the European Union or the United Kingdom, you would ordinarily have a statutory right to withdraw from a distance contract for digital services within fourteen (14) days. By subscribing and then beginning to use the Services (for example, by consuming your first feed or making your first API call), you expressly request that we begin performance immediately, and you acknowledge and agree that you thereby lose your right of withdrawal once performance has begun. Until you first use the Services, this statutory right, where it applies to you, is unaffected by this section.

Chargebacks

Initiating a chargeback, payment dispute, or reversal in respect of fees for Services that were validly provided and used is a breach of these Terms. We reserve the right to contest any such dispute and to immediately suspend or terminate your account and access upon notice of it. This section does not limit any refund or remedy that cannot be waived under mandatory applicable law.

6. Plan changes, cancellation, and downgrades

You may change or cancel your plan at any time from your account's billing area or through the customer billing portal. Upgrades take effect immediately; downgrades and cancellations take effect at the end of the current billing cycle so that you retain the access you have already paid for until that cycle ends. Plan changes are subject to the Refunds section above.

7. API access, keys, and fair use

If your plan includes API access, we grant you a limited, non-exclusive, non-transferable, revocable license to access the API solely for use with your own account and in accordance with these Terms, any applicable rate limits, and any documentation we provide. You agree not to:

  • exceed, circumvent, or attempt to circumvent any rate limit, quota, or entitlement associated with your plan;
  • share, resell, or redistribute API responses, feeds, or scores except as your plan expressly permits;
  • use the Services to build, train, or benchmark a competing product, or to create a substitute for the Services; or
  • scrape, cache, or store the Services' output beyond what is reasonably necessary for your permitted use.

We may monitor usage to enforce these Terms, and may throttle, suspend, or revoke API keys that we reasonably believe are being used in violation of them.

8. Acceptable use and prohibited activities

You agree not to use the Services to:

  • violate any applicable law, regulation, or third-party right;
  • engage in, facilitate, or conceal market manipulation, insider dealing, or any other unlawful trading activity;
  • attempt to gain unauthorized access to the Services, other accounts, or our systems, or to interfere with or disrupt their integrity or performance;
  • reverse engineer, decompile, or attempt to extract the source code or underlying models of the Services, except to the extent permitted by law;
  • upload or transmit malware, or any material that is unlawful, infringing, or harmful; or
  • misrepresent your identity or affiliation, or use the Services on behalf of a third party in breach of these Terms.

9. Intellectual property rights

The Services, including all software, models, scoring methodologies, text, graphics, and the Forecite name and logo, and all intellectual property rights in them, are owned by or licensed to us and are protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal use.

To the extent you submit content to the Services (for example, documents uploaded to the AI assistant), you retain ownership of that content and grant us a limited license to process it solely to provide the Services to you. We do not claim ownership of your content.

10. Third-party services and data sources

The Services rely on and integrate third-party services and data sources, including regulatory bodies, news wires, exchanges, payment and authentication providers, and AI model providers. We do not control and are not responsible for the accuracy, availability, or content of third-party sources, and their availability may change without notice. Your use of any third-party service may be subject to that provider's own terms.

11. Financial disclaimer: no investment advice

The Services, including all feeds, scores, sentiment values, actionability ratings, verdicts, and any other output, are provided for informational purposes only and do not constitute investment, financial, legal, tax, or any other kind of advice, nor a recommendation, solicitation, or offer to buy, sell, or hold any security or financial instrument.

  • Automated, probabilistic output. Scores and verdicts are generated by automated models and are estimates, not statements of fact or predictions of price movement. They may be incomplete, delayed, or incorrect.
  • No advisory relationship. Forecite is not a broker-dealer, investment adviser, financial adviser, or fiduciary, and is not registered as such with any authority. No content in the Services creates any advisory or fiduciary relationship between you and us.
  • Your decisions are your own. You are solely responsible for evaluating the information provided and for any trading or investment decisions you make. Trading and investing involve a substantial risk of loss and are not suitable for every person.
  • No guarantee of results. Past performance is not indicative of future results. We do not guarantee any particular outcome, and we do not warrant the accuracy, completeness, or timeliness of any data.
  • Seek professional advice. You should consult a licensed financial, legal, or tax professional before making any decision based on the Services.

12. Disclaimer of warranties

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, secure, timely, error-free, or free of harmful components, or that any data will be accurate or reliable.

13. Limitation of liability

To the fullest extent permitted by law, in no event will Forecite or its directors, employees, or agents be liable to you for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits, lost revenue, lost data, or trading or investment losses, arising out of or relating to your use of the Services, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability to you for any and all claims arising out of or relating to the Services or these Terms will not exceed the amount you paid to us for the Services during the three (3) months immediately preceding the event giving rise to the liability.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory applicable law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Forecite and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

15. Term and termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination, including the Refunds, Financial disclaimer, Disclaimer of warranties, Limitation of liability, and Indemnification sections, will survive.

16. Changes to the services and these terms

We reserve the right to change, modify, or remove the contents of the Services at any time, and to amend these Terms as described in the Agreement to our legal terms section. Where a change is material, we will make reasonable efforts to notify you, for example by email or an in-product notice.

17. Governing law and dispute resolution

These Terms and any dispute arising out of or in connection with them or the Services are governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law principles.

You agree that any dispute will be resolved exclusively by the competent courts of Dublin, Ireland, and you consent to the personal jurisdiction of those courts, except where mandatory consumer protection law grants you the right to bring proceedings in your place of residence.

18. General provisions

  • Entire agreement. These Terms, together with our Privacy Policy and any policies referenced here, constitute the entire agreement between you and us regarding the Services.
  • Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.
  • No waiver. Our failure to enforce any right or provision does not operate as a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control.
